These terms

These terms apply when you use this website or take a Udoox product from Braincrew Apps. Where you have signed a separate written agreement or order form with us, that document takes precedence over anything below that conflicts with it.

What you are buying

Each Udoox product — Restro, Hospitality, Retail, EduTech and Production — is a separate product, licensed separately. Buying one does not give you a right to another. What is included in your purchase is set out in your order: the product, the edition, the number of users or locations, the support level and the term.

Your licence

We grant you a non-exclusive, non-transferable right to use the product for your own business, for the term you have paid for, on the number of users, locations or devices in your order. You may not resell it, rent it out, sublicense it, run it as a service for other businesses, remove our notices from it, or copy it beyond what your order allows.

Your responsibilities

• Keep your login credentials safe and make sure the right people have the right access.
• Use the product lawfully, and make sure what you record in it complies with the rules of your industry and your country — tax, invoicing, employment, food safety, education, student and guest records, and anything else that applies to you.
• Keep your own backups where you host the system yourself.
• Pay the invoices raised under your order, on time.

Fees and payment

Fees, the billing cycle and the currency are those stated in your order. Unless your order says otherwise, fees are payable in advance and exclude taxes, which are added where they apply. Late payment may lead to support being paused, and, after notice, to the licence being suspended.

Support and updates

Support and updates are provided at the level in your order, through the channels we publish. Support covers the product working as documented; it does not cover work you ask us to do on top — custom development, data cleaning, third-party software, your hardware, your network or your internet connection — which we quote separately.

Your data

The data you put into the product is yours. You can export a full copy at any time. If your subscription ends, ask us for that copy within thirty days and we will provide it. How we handle personal information is set out in our Privacy Policy.

Availability

Where we host the system for you, we aim to keep it available at all times but cannot guarantee uninterrupted service. Planned maintenance is notified in advance wherever possible. Where you host the system yourself, availability is in your hands.

Third-party services

Some features connect to services run by other companies — payment gateways, messaging and email providers, delivery platforms, online marketplaces, AI providers and government portals. Those services have their own terms and their own charges, they can change without our involvement, and we are not responsible for their acts or their outages.

Intellectual property

The Udoox products, this website, our names, logos and documentation remain ours. Nothing in these terms transfers ownership of them to you. Any feedback you send us about the product may be used to improve it, without obligation to you.

Warranty and liability

We warrant that the product will perform materially as documented. Beyond that, and to the extent the law allows, the product is supplied as it is. We are not liable for indirect or consequential loss, and our total liability under your order is limited to the fees you paid for the product in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.

Suspension and termination

Either side may end the agreement at the end of the current term by giving written notice. We may suspend or end it earlier if fees go unpaid after notice, if the licence is used outside these terms, or if the product is used unlawfully. On termination your right to use the product stops, and you may take your data with you as described above.

Changes to these terms

We may update these terms. The version that applies to a subscription already running is the one in force when it was bought or last renewed, and we will tell you before a change affects a renewal.

Governing law

Unless your order states otherwise, these terms are governed by the laws of India, and the courts of Ahmedabad, Gujarat have jurisdiction.
